Buying and selling companies (M&A)

Your independent advisor through the entire transaction

Advisory on buying and selling companies – from the first assessment to a completed transaction. We handle the entire sale process, including finding the right buyers, and are at your side through preparation, valuation, negotiation and closing. For owner-managers, boards and private equity funds who want the experience on their side of the table.

Why it matters

Three reasons
it cannot wait.

01

You only do this once

The buyer across the table may have completed twenty transactions. Most owner-managers sell once in a lifetime. That gap in experience must be closed – or you will pay for it in the price.

02

Preparation decides the price

Most value is lost before negotiations begin: imprecise numbers, missing documentation and a process without competition. Thorough preparation is the cheapest way to raise the price – and the step most people skip.

03

Independent of the outcome

We take no commission on the deal and have no hours to sell afterwards. Our only interest is that the price and the structure hold – also after closing. That makes our advice one you can trust.

How we work

Four steps, the same
responsible advisor.

You have one senior advisor all the way through. The method is standardised, so the pace comes from the structure and not from shortcuts.

  1. 01

    Clarity and strategy

We map your goals, timeline and alternatives – and give you an honest assessment of whether the company and the numbers are ready for a process now.

  2. 02

    Valuation and materials

We value the company, normalise the earnings and prepare the material a professional counterpart expects to see before making a serious offer.

  3. 03

    Buyer identification and process

We identify and approach the right buyers – in Denmark and internationally – create competition for the deal and drive the process towards offers.

  4. 04

    Negotiation and closing

We negotiate price, structure and terms with the numbers as our foundation, and steer the transaction safely to completion in close cooperation with the lawyers.

Questions and answers

Ask your question →
When should I start if I am considering selling?

Ideally 12–24 months before you expect a transaction. That leaves time to clean up the numbers, strengthen the organisation and document what a buyer will ask about. Everything that is in place before the process strengthens the price – everything discovered along the way weakens it.

Can you also find the buyer for my company?

Yes. We handle the entire sale process – including identifying, screening and approaching potential buyers in Denmark and abroad. Here we partner with the M&A house Momentum Partners, giving you access to a broad network of buyers and investors combined with our financial depth. You have one responsible advisor throughout the process.

Do you also help with acquisitions?

Yes. On the buy side we help identify and assess targets, value the business, perform financial due diligence and negotiate price and structure. We have sat on the buy side ourselves, in listed and private equity-owned companies, so we know the process from the inside – including what happens after closing.

How long does a sale process typically take?

Most processes take 6–18 months from decision to closing, depending on how well prepared the company is and how many buyers need to be in play. Do not underestimate the internal workload: a process demands management's time while the business must keep running. We plan for that together from the start.

Will the process be kept confidential?

Yes – confidentiality governs the entire process. We work with non-disclosure agreements, anonymised material in the early stages and staged access to information as a buyer proves serious. Employees, customers and suppliers should not know about the process until you decide they should.
